1. Acceptance of Terms
By accessing or using www.ndsexternal.com (“Website”), purchasing any services, tools, digital products, subscriptions, or consulting from NDS External (“Company”, “we”, “us”, or “our”), you agree to be legally bound by these Terms and Conditions.

If you do not agree, you must not use our services.

NDS External provides:

-AI tool access and digital resources
-Educational materials and training
-Business consulting services
-Implementation support
-Strategy guidance

We reserve the right to modify, update, or discontinue services at any time without prior notice.

 
3. No Guarantees / Results Disclaimer
We provide education, tools, and consulting services. We do not guarantee:

-Business results
-Revenue increases
-Automation outcomes
-Profitability
-Specific performance improvements

All outcomes depend on user implementation, business model, market conditions, and external factors beyond our control.

 
4. Payments & Billing
All payments are:

Due in full at the time of purchase unless otherwise agreed in writing
Processed securely through third-party payment processors

Non-refundable unless explicitly stated in a written agreement

By making a purchase, you authorize NDS External to charge your selected payment method.

Failure to complete payment may result in suspension or termination of services.

 
5. Strict No-Chargeback Policy
By purchasing from NDS External, you agree to the following:

You will not initiate chargebacks, payment disputes, or reversals without first contacting us to attempt resolution.
All sales of digital products, consulting, strategy sessions, and AI tool access are final.

If a chargeback is initiated:

You agree that we may provide proof of purchase, IP logs, communications, delivery confirmation, and agreement to these Terms to the payment processor.
You agree to reimburse us for any chargeback fees, dispute fees, administrative costs, and recovery expenses.

Access to all services will be immediately terminated.

Legal recovery action may be pursued where applicable.

Fraudulent chargebacks may result in permanent banning and potential legal action.

 
6. Refund Policy
Unless otherwise stated in writing:

Digital products are non-refundable.
Consulting sessions are non-refundable once booked.
Subscription payments are non-refundable for the billing period already charged.
If a refund exception is granted, it is at our sole discretion.

 
7. Subscription Terms (If Applicable)
If you enroll in a recurring subscription:

You authorize automatic recurring billing.
You may cancel prior to your next billing cycle.
Cancellation does not retroactively refund previous payments.
We reserve the right to change subscription pricing with notice.
 
8. Intellectual Property
All content, materials, systems, frameworks, training materials, branding, and resources are the intellectual property of NDS External.

You may not:

Resell
Redistribute
Share login access
Copy proprietary systems
Republish training materials
Unauthorized use may result in legal action.

 
9. User Responsibilities
You agree to:

Provide accurate information
Use services lawfully
Not misuse AI tools for illegal, harmful, or unethical purposes
Not attempt to reverse engineer or duplicate proprietary systems
You are solely responsible for how you implement advice, strategies, or tools.

 
10. Limitation of Liability
To the maximum extent permitted by law:

NDS External shall not be liable for:

Indirect damages
Loss of profits
Business interruption
Data loss
Missed opportunities
Third-party tool failures
Our total liability shall not exceed the amount paid by you for services in the previous 30 days.

 
11. Third-Party Tools & Platforms
We may provide guidance on platforms such as:

ChatGPT
Durable
Zapier
We are not affiliated with or responsible for third-party platform outages, policy changes, pricing changes, or technical issues.

Use of third-party tools is subject to their own terms.

 
12. Confidentiality
Any confidential business information shared during consulting will not be disclosed to third parties, except where required by law.

You agree not to share proprietary systems or materials provided to you.

 
13. Termination
We reserve the right to suspend or terminate access if:

Payment disputes occur
Terms are violated
Fraud is suspected
Abuse or misconduct occurs
Termination does not entitle you to a refund.

 
14. Indemnification
You agree to indemnify and hold harmless NDS External from any claims, losses, damages, liabilities, or expenses arising from:

Your misuse of services
Your business decisions
Your implementation of AI systems
Legal issues resulting from your use of advice or tools
 
15. Governing Law
These Terms are governed by the laws of Australia. Any disputes shall be resolved in Australian courts.

 
16. Updates to Terms
We reserve the right to modify these Terms at any time. Continued use of the Website or services constitutes acceptance of updated Terms.
